Acceptance of Terms

By accessing or using the C ELD website, apps, firmware, and related services (“Services”), you agree to these Terms & Conditions and to our Privacy Policy. If you do not agree, do not use the Services.

Use of Services

You may use the Services only for lawful purposes and in accordance with applicable regulations (including FMCSA/HOS where applicable). You are responsible for:

  • providing accurate account information (e.g., company details, US DOT number if applicable);
  • ensuring drivers and staff use the app as intended;
  • maintaining the security of credentials and devices.

We may update or modify features at any time. Some features may require compatible hardware, vehicle interfaces, and internet connectivity.

Accounts & Eligibility

To register, you must be able to form a binding contract and, where required, be authorized by your employer. You agree to keep your information current and to notify us of unauthorized use of your account.

Subscriptions, Billing & Taxes

Paid plans renew per the billing cycle shown at purchase. Fees are non-refundable except where required by law. Failure to pay may result in suspension or termination. Prices exclude applicable taxes, duties, and government charges.

We use necessary cookies to operate the site and may use optional cookies/analytics to improve performance. You can control optional cookies as described in our Privacy Policy.

Intellectual Property

All software, firmware, documentation, text, graphics, logos, and other materials are owned by C ELD or its licensors and are protected by law. Subject to these Terms and an active subscription, we grant you a limited, non-exclusive, non-transferable license to access and use the Services. You may not reverse engineer, decompile, or create derivative works except where permitted by law.

User Content & Feedback

If you submit content (e.g., comments, feedback, support requests), you represent that you have the rights to do so and that the content does not infringe third-party rights, contain unlawful or harmful material, or violate privacy. You grant C ELD a worldwide, non-exclusive, royalty-free license to use and reproduce such content to operate and improve the Services.

Data & Ownership

You retain ownership of your operational data. We store and process data to provide the Services, meet legal obligations (including DOT inspections/HOS), and enhance product performance. We may use de-identified/aggregated data for analytics and benchmarking, consistent with our Privacy Policy.

Prohibited Conduct

  • copy, scrape, or bulk-download content except as expressly allowed;
  • interfere with or disrupt the Services;
  • bypass security or usage limits;
  • use the Services for unlawful monitoring or to falsify logs or records.

Third-Party Links & Services

Our Services may link to or interoperate with third-party websites, devices, and integrations. We are not responsible for third-party content, policies, or performance.

Availability & Changes

We strive for high availability but do not guarantee the Services will be uninterrupted or error-free. We may modify, suspend, or discontinue any part of the Services with reasonable notice where required.

Disclaimers

Except as expressly stated in a separate written warranty, the Services are provided “as is” and “as available.” We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that logs, GPS, diagnostics, or third-party data will be error-free or compatible with every vehicle.

Limitation of Liability

To the maximum extent permitted by law, C ELD and its affiliates will not be liable for any indirect, incidental, special, consequential, punitive, or lost-profit damages. Our total liability for claims arising out of or related to the Services will not exceed the amounts you paid for the Services in the twelve (12) months preceding the event giving rise to the claim.

Indemnification

You will indemnify and hold C ELD harmless from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your: (a) misuse of the Services; (b) violation of these Terms; or (c) infringement of any third-party right.

Termination

We may suspend or terminate access for breach, nonpayment, or unlawful use. You may cancel at any time per your plan. Upon termination, you may request a data export within a commercially reasonable period; some records may be retained to meet legal requirements.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Exclusive venue lies in the state or federal courts located in Delaware, unless the parties agree to arbitration in a separate written agreement.

Changes to Terms

We may revise these Terms from time to time. Updated Terms will be posted with a new “Last updated” date. Continued use of the Services after changes become effective constitutes acceptance.
