By accessing or using C ELD products and services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the services.
We provide software (mobile and web), device firmware, and optional professional services. We may add, modify, or discontinue features with reasonable notice where required. You are responsible for obtaining compatible hardware, vehicles, and connectivity.
Subscriptions renew per the billing cycle shown at purchase. Fees are non-refundable unless required by law. Failure to pay may result in suspension or termination. Prices exclude taxes and duties, which you are responsible to pay.
All software, firmware, documentation, and brand assets are owned by C ELD or its licensors. We grant you a limited, non-exclusive, non-transferable license to use the services during an active subscription, subject to these Terms.
You retain ownership of your operational data. We store and process data to provide the services and to comply with legal obligations. We may use anonymized or aggregated data for analytics, service improvement, and benchmarking.
Except as expressly stated in a separate written warranty, the services are provided “as is” and “as available.” We do not guarantee uninterrupted operation, accuracy of third-party data, or compatibility with all vehicles or integrations.
To the maximum extent permitted by law, C ELD will not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim will not exceed the fees you paid for the services during the twelve (12) months preceding the event giving rise to the claim.
We may suspend or terminate access for material breach or nonpayment. Upon termination, you may request an export of your data within a commercially reasonable period (specify timeframe in your commercial agreement). Certain provisions survive termination.
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts located in Delaware, unless the parties agree to binding arbitration in a separate agreement.
